VersaBank Announces the Results of Its 2018 Meeting of Shareholders

LONDON, Ontario–(BUSINESS WIRE)–VersaBank (TSX:VB) reports the results of its 2018 Annual and Special Meeting of Shareholders (the “Meeting”) held in London, Ontario on April 25, 2018.

Each of the director nominees listed in VersaBank’s management information circular dated March 1, 2018 were elected as directors of the Bank. The detailed results of the vote are as follows, with percentages rounded to two decimal places:

At the meeting the Shareholders also:

  • approved the re-appointment of KPMG LLP as auditors of the Bank;
  • approved an amendment to section 4.1 of By-Law No. 1 of VersaBank decreasing the fixed number of directors to ten; and
  • approved an addition of a new section 3.4 to By-Law No. 1 of VersaBank regarding quorum for meetings of shareholders.
